Ivystar Terms of Service

Please read these Terms of Service carefully before using our platform.

1 - Interpretation and Definitions

1.1 - Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in the singular or in the plural.

1.2 - Definitions

For the purposes of these Terms of Service:

  • account means a unique account created for you to access our platform or parts of our platform.
  • affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
  • application means the software program provided by the company or operator downloaded by you on any electronic device, named Ivystar.
  • buyer refers to users of the platform who are placing orders for goods.
  • country refers to United States.
  • company (referred to as either "the company", "we", "us" or "our" in this agreement) refers to Ivystar Inc., Batten Hall, Harvard Innovation Labs, 125 Western Avenue, Boston, MA 02163.
  • content refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by you, regardless of the form of that content.
  • device means any device that can access the platform such as a computer, a cell phone, or a digital tablet.
  • feedback means feedback, innovations, or suggestions sent by you regarding the attributes, performance, or features of our platform.
  • good refers to the items or services offered for sale, rental, auction, contact, or any other means of trading on the platform.
  • operator (referred to as either "the operator", "we", "us" or "our" in this agreement) refers to Ivystar Inc.
  • order means a request by you to purchase or trade by any means goods on the application or website.
  • seller refers to users of the platform who are listing goods and making them available for trade by any means.
  • platform refers to the application or the website or both.
  • terms of service (also referred to as "terms") mean these terms of service that form the entire agreement between you and the company or operator regarding the use of the platform.
  • third-party social media platform means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the platform.
  • website refers to Ivystar, accessible from https://www.ivystar.io.
  • you means the individual accessing or using the platform, or the company, or other legal entity on behalf of which such individual is accessing or using the platform, as applicable.

1.3 - Ivystar Platform Use Requirements

Disclaimer of Warranties

The Ivystar platform is provided on an "as is", "as available", and "with all faults" basis. Ivystar makes no representations or warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

Ivystar does not guarantee that the platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that the platform or the servers that make it available are free of viruses or other harmful components.

You acknowledge that your use of the platform is at your sole risk and that you assume full responsibility for any costs associated with your use of the platform. Ivystar shall not be liable for any damages of any kind related to your use of the platform.

Limitation of Liability

To the fullest extent permitted by law, Ivystar shall not be liable to you or any third party for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your access to or use of the platform or any services or content provided through the platform.

Ivystar disclaims any responsibility for the acts or omissions of platform users and shall not be liable for any disputes, claims, losses, or damages resulting from interactions between users.

In no event shall Ivystar’s total liability to you for all damages exceed the greater of (a) the amount paid by you through the platform, if any, or (b) one hundred U.S. dollars ($100), whichever is less.

Termination and Suspension

Ivystar reserves the right to suspend, modify, or discontinue the platform (or any part thereof) at any time, with or without notice. Ivystar shall not be liable to you or any third party for any such suspension or discontinuance.

Ivystar may suspend or terminate your account or access to the platform immediately and without notice for any reason, including but not limited to violation of these terms, inactivity, or conduct that Ivystar determines to be harmful to the platform, other users, or the company.

Upon termination, Ivystar may delete all data associated with your account and bar further access to the platform. You agree that Ivystar shall not be liable for such deletion or denial of access.

The following provisions are hereby incorporated as enforceable terms applicable to all users of the Ivystar platform, including students, mentors, and parents or legal guardians. By using the Ivystar platform, you expressly acknowledge and agree to the following conditions. These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law principles. If you are a user outside the United States, you understand and agree that your use of the platform may also be subject to the laws of your jurisdiction to the extent they provide additional mandatory consumer protections.

Consent Acknowledgement

You represent that you are at least 13 years of age. If you are under the age of 18, you affirm that you have obtained verifiable consent from your parent or legal guardian to use the Ivystar platform.

You understand that Ivystar may request verification of such consent at any time and may suspend or terminate access to the platform if such consent is not provided upon request.

Platform and Pricing Acknowledgement

You understand that creating an Ivystar account is free of charge.

You acknowledge that you will be responsible for any fees associated with mentoring sessions that you book or authorize through the platform, and you agree to pay all such charges in accordance with Ivystar’s current pricing policies.

Privacy and Safety

You understand that Ivystar promotes a safe and respectful mentoring environment. You agree to keep private all personally identifying details during mentoring sessions, including but not limited to:

  • Full name
  • Phone number
  • Email address
  • Home address or school name
  • Social media handles or usernames
  • Personal identification numbers or account details
  • Any other information that could reasonably be used to identify you outside the platform.

You acknowledge that participation in mentoring sessions may include voice and screen sharing, and that enabling your camera is optional.

You further understand that Ivystar reserves the right to record sessions for quality assurance and safety, in accordance with its Privacy Policy and applicable laws.

Mentor Conduct and Platform Exclusivity

As a mentor, you agree not to solicit, initiate, or accept mentoring engagements outside of the Ivystar platform with any user you are introduced to through Ivystar.

You acknowledge that all mentor-student connections made through Ivystar must remain within the platform, and that taking sessions or communication off-platform without written permission from Ivystar constitutes a material breach of these terms.

You understand that any violation of this policy may result in immediate suspension or termination of your account, forfeiture of compensation, and potential legal action including but not limited to injunctive relief and claims for damages.

You acknowledge and agree that your role as a mentor on the Ivystar platform is that of an independent contractor. You are not an employee, agent, joint venturer, or partner of Ivystar for any purpose, and you are solely responsible for any applicable taxes, insurance, and compliance with local laws governing your activities.

Academic Honesty and Use of Platform

You agree that all mentoring sessions on the Ivystar platform must support academic integrity. Mentors may not complete assignments, write papers, take exams, or engage in any form of academic dishonesty on behalf of a student.

Users must not request or engage in the exchange of academic materials for dishonest purposes.

Follow-Up Communication Standards

Ivystar is committed to delivering a high-trust, high-impact experience for students and families. To support this mission, mentors are expected to uphold consistent communication practices.

As part of the Ivystar platform standards, mentors are expected to send a brief, professional follow-up message to students (and parents, when appropriate) within 24 hours after each completed session. This message should include a summary of what was covered, any observations or highlights, and recommended next steps or encouragement.

While mentors operate as independent contractors, adherence to this follow-up practice is a condition of active participation on the platform. Mentors who fail to meet this communication expectation may be subject to platform review, account suspension, or removal at Ivystar’s sole discretion.

This policy supports Ivystar’s core values of clarity, consistency, and care, and ensures that families receive the guidance and support they expect from mentors operating under the Ivystar brand.

Student Obligations and Conduct

You must be of legal age and capable of forming a binding agreement. If you are under 18, you must obtain parental or legal guardian consent to use the platform.

You must provide accurate, current, and complete information during registration and update it as necessary.

You are responsible for maintaining the confidentiality of your account and password and for all activities under your account. Notify Ivystar immediately of any unauthorized use of your account.

You agree to use the platform in a lawful, respectful, and honest manner. Prohibited behavior includes, but is not limited to: harassment, defamation, academic dishonesty, impersonation, spamming, uploading malicious software, misrepresentation, unauthorized access to other users’ accounts or data, scraping or copying information from the platform, or interfering with others' use of the platform.

You agree not to share or request personal contact details during sessions, including full name, address, phone number, email address, social media handles, usernames, or any other identifying information.

You must not use the platform to distribute or store unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material of any kind.

You agree not to use the platform for commercial purposes not expressly authorized by Ivystar, including but not limited to advertising, solicitation, or resale of content or services.

You agree not to use any automated system, including "robots," "spiders," or "offline readers," to access the platform in a manner that sends more request messages to the platform servers than a human can reasonably produce in the same period of time.

You agree not to collect or store personal data about other users except as authorized by Ivystar.

You agree not to violate any applicable local, state, national, or international law or regulation.

Ivystar reserves the right to investigate and take appropriate legal action against anyone who, in Ivystar’s sole discretion, violates these terms, including without limitation removing the offending content, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

Indemnification

You agree to indemnify, defend, and hold harmless Ivystar, its officers, employees, contractors, affiliates, licensors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, or expenses (including attorney’s fees) arising from (i) your use of the platform; (ii) your violation of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that content submitted by you caused damage to a third party.

Confidentiality and Data Protection

All users, including mentors and parents, agree to maintain the confidentiality of any personal or session-related information shared through the platform. Any misuse or unauthorized disclosure of personal data is grounds for termination and may result in legal action.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be resolved by binding arbitration administered in Boston, Massachusetts, in accordance with the commercial arbitration rules of the American Arbitration Association. You waive the right to a trial by jury or to participate in a class action.

Injunctive Relief

You acknowledge and agree that any breach of the confidentiality, platform exclusivity, or intellectual property provisions of these Terms may cause Ivystar irreparable harm, for which monetary damages would be inadequate. Ivystar shall be entitled to seek injunctive or equitable relief, without the necessity of posting bond, in any court of competent jurisdiction.

Class Action Waiver

You agree that all claims must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

No Guarantee of Outcomes

Ivystar makes no guarantees or warranties regarding the effectiveness or outcomes of mentoring sessions. Success depends on a variety of factors, including student effort and circumstances beyond Ivystar’s control.

Use of Third-Party Tools

Ivystar may utilize third-party tools and services including Zoom, Stripe, and others. Use of these services is subject to the terms and privacy policies of the respective providers.

Right to Modify Terms

Ivystar reserves the right to update these Terms at any time. Continued use of the platform after any update constitutes your acceptance of the revised Terms. Material changes will be posted on our platform and we will provide notice as appropriate.

Survival of Terms

Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, indemnification, limitation of liability, dispute resolution, and platform exclusivity.

Account Suspension and Termination

Ivystar reserves the right to suspend or terminate any account without prior notice if it determines that the user has violated these Terms, including but not limited to academic dishonesty, unsafe behavior, or off-platform engagement.
